The following Terms and Conditions shall be governed by and interpreted in accordance with the laws of Trinidad & Tobago.

1. Introduction

Welcome to Biashara, a digital commerce and service platform operated by Foresite Technology. By subscribing to and using Biashara, you agree to comply with and be bound by the following Terms and Conditions.

If you do not agree with these terms, you should not use the platform.


2. Services Provided

Biashara provides businesses with an online storefront and/or booking system, including hosting, platform access, system updates, and related support services.

Biashara is a subscription-based service and does not guarantee specific financial results, sales performance, or customer acquisition outcomes.


3. Subscription Plans & Fees

Biashara operates on recurring subscription plans, including:

  • Monthly Plan

  • Quarterly Plan

  • Annual Plan

All subscription fees must be paid in advance to maintain active service.

Pricing is subject to change with prior notice; however, changes will not affect active subscription periods already paid.


4. Refund Policy

Monthly & Quarterly Plans

All payments made under the Monthly and Quarterly subscription plans are non-refundable. Once payment is processed, no refunds, partial refunds, or credits will be issued.

Annual & Plus Plan

Annual & Plus subscription payments are eligible for a refund request within 30 days of purchase.

If approved:

  • The refund amount will be 50% of the total annual subscription fee paid.

  • Refund requests made after 30 days from the purchase date will not be honored.

Refund requests must be submitted in writing via official communication channels.


5. Payment Terms & Service Suspension

Subscriptions are billed on a recurring basis according to the selected plan (Monthly, Quarterly, Annual, or Biashara+).

Late Payment Penalties (Calendar Days)

All late fees are calculated using calendar days (not working days).

Monthly & Quarterly Plans:

  • 20% late fee applied after 2 days past due
  • 50% late fee applied after 14 days past due

Annual Plan & Biashara+:

  • 10% late fee applied after 7 days past due
  • 25% late fee applied after 30 days past due

Service Suspension

Monthly & Quarterly Plans:
Failure to make payment within 7 days after the due date will result in:

  • Temporary suspension or disabling of the Biashara store instance
  • Restricted access to the dashboard and customer-facing website

If payment remains outstanding for 30 days after the due date:

  • The subscription will be considered abandoned
  • All associated website data, content, customer data, and system files will be permanently deleted
  • Recovery of deleted data is not guaranteed

Annual Plan & Biashara+:
Failure to make payment within 30 days after the due date will result in:

  • Temporary suspension or disabling of the Biashara store instance
  • Restricted access to the dashboard and customer-facing website

If payment remains outstanding for 90 days after the due date:

  • The subscription will be considered abandoned
  • All associated website data, content, customer data, and system files will be permanently deleted
  • Recovery of deleted data is not guaranteed

Biashara is not responsible for data loss due to prolonged non-payment.


6. Client Responsibilities

To activate and maintain a Biashara instance, clients must provide:

  • Accurate business information

  • Proper licensing or registration where applicable

  • Product/service descriptions

  • Pricing and relevant images

  • Lawful and non-infringing content

Clients are solely responsible for ensuring the legality and accuracy of the products and services offered through their Biashara store.


7. Prohibited Use

Users may not use Biashara to:

  • Sell illegal goods or services

  • Distribute harmful, fraudulent, or misleading content

  • Violate intellectual property rights

  • Engage in unlawful activity

Biashara reserves the right to suspend accounts that violate these policies.


8. Limitation of Liability

Biashara and Foresite Technology shall not be liable for:

  • Loss of profits

  • Loss of business

  • Indirect or consequential damages

  • Downtime caused by third-party providers

  • Customer disputes between merchants and buyers

The platform is provided “as is” without warranties of guaranteed performance.


9. Intellectual Property

Biashara retains ownership of its software, systems, branding, and platform architecture.

Clients retain ownership of their business content, including logos, images, and product descriptions, but grant Biashara the right to host and display such content for operational purposes.


10. Termination

Biashara reserves the right to suspend or terminate accounts that:

  • Violate these Terms

  • Fail to make payments

  • Engage in fraudulent or harmful activity

Clients may cancel their subscription at any time; however, refund policies will apply as outlined above.


11. Amendments

Biashara reserves the right to update or modify these Terms and Conditions at any time. Continued use of the platform constitutes acceptance of any revised terms.


12. Governing Law

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of Trinidad & Tobago.
